Acknowledgment

These are the Terms and Conditions governing the use of Datural's products (the "Service") and the agreement between you and Datural ("we", "us", "our"). These Terms set out the rights and obligations of all users regarding the use of the Service.

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

You represent that you are over the age of 18.

Your access to and use of the Service is also subject to our Privacy Policy, which describes how we collect, use, and disclose personal information.

Definitions

Accounts

To use most features of the Service, you must create an Account. You may create an Account by signing in through a supported identity provider (e.g. Google, Slack) or by other means we make available.

You are responsible for safeguarding the credentials and devices you use to access the Service. You are responsible for all activity that occurs under your Account, whether or not you authorized it. You must notify us immediately upon becoming aware of any unauthorized use of your Account.

You agree to provide accurate, current, and complete information when you create an Account and to keep that information up to date.

We may suspend or terminate Accounts that violate these Terms or whose activity poses a risk to us, our other users, or the Service.

Subscription plans and fees

Parts of the Service may be offered free of charge. Other parts may require a paid Subscription.

For paid Subscriptions:

We may offer free trials. At the end of a free trial, the Subscription will automatically convert to a paid plan at the disclosed rate unless you cancel before the trial ends.

Your content and connected data

You retain ownership of the data you provide to the Service or that the Service accesses on your behalf (your "Content"). This includes, without limitation, the contents of databases connected to Datural, calendar events read by Fred, and Slack messages Fred is exposed to.

You grant us a limited, worldwide, royalty-free license to host, store, process, transmit, and display your Content solely as necessary to operate and provide the Service to you. We do not use your Content to train machine-learning models, sell it, or share it with third parties except as described in the Privacy Policy.

You represent that you have all rights necessary to grant the licenses above and that your Content does not infringe the rights of any third party or violate any law.

Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination, your right to use the Service will cease immediately. Sections of these Terms that by their nature should survive termination (including disclaimers, limitation of liability, and dispute resolution) will survive.

Limitation of liability

To the maximum extent permitted by applicable law, the entire liability of Datural and any of its suppliers under any provision of these Terms, and your exclusive remedy, shall be limited to the amount actually paid by you through the Service in the twelve (12) months preceding the event giving rise to the claim, or USD 100 if you have not paid anything.

In no event shall Datural or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, loss of data or other information, business interruption, personal injury, or loss of privacy arising out of or in any way related to the use of or inability to use the Service), even if Datural or any supplier has been advised of the possibility of such damages and even if the remedy fails of its essential purpose.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for incidental or consequential damages. In those jurisdictions, the above limitations apply only to the greatest extent permitted by law.

"AS IS" and "AS AVAILABLE" disclaimer

The Service is provided "AS IS" and "AS AVAILABLE" with all faults and defects without warranty of any kind. To the maximum extent permitted under applicable law, Datural expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We make no representation that the Service will meet your requirements, achieve any intended results, be uninterrupted or error-free, or that any errors will be corrected. We make no warranty as to the accuracy, reliability, or currency of any information provided through the Service, or that the Service is free of viruses or other harmful components.

Governing law

The laws of Israel, excluding its conflicts-of-law rules, shall govern these Terms and your use of the Service. Your use of the Service may also be subject to other local, state, national, or international laws.

Disputes resolution

If you have any concern or dispute about the Service, you agree to first try to resolve the dispute informally by contacting us at info@datural.io.

For European Union (EU) users

If you are a European Union consumer, you will benefit from any mandatory provisions of the law of the country in which you are resident.

United States legal compliance

You represent and warrant that (i) you are not located in a country that is subject to a United States government embargo, or that has been designated by the United States government as a "terrorist supporting" country, and (ii) you are not listed on any United States government list of prohibited or restricted parties.

Severability and waiver

Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

Waiver

Except as provided herein, the failure to exercise a right or to require performance of an obligation under these Terms shall not affect a party's ability to exercise such right or require such performance at any time thereafter, nor shall the waiver of a breach constitute a waiver of any subsequent breach.

Translation interpretation

These Terms may have been translated if we have made them available to you on our Service. You agree that the original English text shall prevail in the case of a dispute.

Changes to these Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will make reasonable efforts to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use the Service after those revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the new Terms, in whole or in part, please stop using the Service.
